1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the FieldPanel platform, website at fieldpanel.com, and all related services (collectively, the "Service") operated by Clear Kernel LLC, doing business as FieldPanel ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to FieldPanel customers (home-service business owners using the platform) and Visitors (anyone browsing the website).

2. Description of Service

FieldPanel is a field-service management platform designed for home-service businesses, including but not limited to cleaning companies, landscapers, and handyman services. The platform provides tools for scheduling, customer management, invoicing, communications, and related business operations.

3. Account Registration

FieldPanel accounts are provisioned through a live sales conversation between the prospective customer and a FieldPanel representative. When the customer agrees to activate an account, the representative initiates account provisioning through FieldPanel's sales tooling. You agree to provide accurate, current, and complete information during onboarding and to update your information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to hold an account. By accepting an account, you represent that you have the legal authority to enter into these Terms on behalf of yourself or your business.

4. SMS Messaging

FieldPanel sends SMS messages for one purpose only: delivering a one-time account sign-in link to a newly-provisioned FieldPanel account. Messages are sent only after the recipient has provided explicit verbal consent during a live phone call with a FieldPanel sales representative. FieldPanel does not send marketing, promotional, or bulk SMS messages and does not collect SMS consent through any web form. Every message is rep-initiated on a live, recorded phone conversation after consent is logged.

By verbally authorizing a FieldPanel representative to send you an SMS during a phone call, you agree to receive the single message described in our SMS Messaging Terms & Policy, and you agree to the terms of our Privacy Policy.

Two Sender Numbers: FieldPanel may send SMS from either a toll-free number or a local long-code number. Both numbers are operated by Clear Kernel LLC (FieldPanel). Replying STOP to either number opts you out from all FieldPanel SMS messages.

Costs: Standard message and data rates from your mobile carrier may apply. FieldPanel is not responsible for any charges from your carrier. Wireless carriers are not liable for delayed or undelivered messages.

Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message. Reply HELP to any message to receive assistance contact information.

Compliance: FieldPanel complies with the Telephone Consumer Protection Act (TCPA) and applicable state laws. FieldPanel reserves the right to suspend or terminate SMS messaging to any user who abuses the service or provides false information.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to violate any applicable laws or regulations, send spam, unsolicited messages, or unauthorized communications, transmit harmful, threatening, abusive, or fraudulent content, attempt to gain unauthorized access to the platform or its systems, interfere with or disrupt the Service or its infrastructure, or misrepresent your identity or the nature of your business.

6. Payment Terms

Customers agree to pay all fees associated with their selected plan. Fees are billed in accordance with pricing provided during account activation or as agreed upon in writing. All payments are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice.

7. Intellectual Property

All content, features, and functionality of the Service, including software, text, graphics, logos, and trademarks, are the property of FieldPanel and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.

Customers retain ownership of their business data and customer information uploaded to the platform. By using the Service, you grant us a limited license to process and store this data solely for the purpose of providing the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.

FieldPanel is a technology platform and does not provide, supervise, or guarantee the quality of any home services performed by Customers or their employees.

10. Limitation of Liability

To the maximum extent permitted by law, FieldPanel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to FieldPanel in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless FieldPanel and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall continue to apply.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time. We will notify Customers of material changes via email or through the platform. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Clear Kernel LLC is registered, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved in courts of competent jurisdiction.
